'Owen Life Coach Institute' is operated by Lauren Marie Owen and her associates. LAUREN MARIE OWEN AND HER ASSOCIATES WILL BE REFERRED TO AS “LAUREN MARIE OWEN” OR “OWEN LIFE COACH INSTITUTE” OR “WE” OR “I” OR “OUR.”

THESE TERMS AND CONDITIONS OF USE AND SERVICE (“TERMS”) GOVERN YOUR USE OF THIS WEB SITE OWENLIFECOACHINSTITUTE.COM AND OTHER WEB SITES (COLLECTIVELY, “SITE”) OWNED OR OPERATED BY LAUREN MARIE OWEN (HEREIN AFTER REFERRED TO AS “LAUREN MARIE OWEN” OR “OWEN LIFE COACH INSTITUTE” OR “WE” OR “I”). THESE TERMS BECOME EFFECTIVE BETWEEN YOU AND LAUREN MARIE OWEN UPON INITIALLY CLICKING THE ACCEPT BUTTON WHEN YOU FIRST BECOME A CUSTOMER OR A MEMBER. YOU AGREE THAT ANY FUTURE ACCESS TO THIS SITE INDICATES YOUR ACKNOWLEDGMENT AND ACCEPTANCE OF THESE TERMS. THESE TERMS ARE SUBJECT TO CHANGE BY LAUREN MARIE OWEN AT ANY TIME IN ITS DISCRETION. To access this Site or some of the resources it has to offer, you may be asked to provide certain registration details or other information. It is a condition of your use of this Site that all the information you provide on this Site will be correct, current, and complete. If Owen Life Coach Institute believes the information you provide is not correct, current, or complete, or that you have breached these Terms, we have the right to refuse you access to this Site or any of its resources, and to terminate or suspend your access at any time, without notice.

By accessing and using this site (including registering for our educational and coaching services, and purchasing our products), you are agreeing to our Terms and Conditions of Use. If you do not agree to these terms, please do not use the site. We reserve the right to make changes to them at any time without notice, so regularly check for updates. By using the site, following an update, you are agreeing to the terms of the update.

These terms and conditions are subject to the laws of the State of California, United Sates of America. The courts of California shall have exclusive jurisdiction over any dispute between Owen Life Coach Institute and you (except for any matter involving infringement of the intellectual property rights in the Content, in which case the jurisdiction of the California Courts shall be non-exclusive).

2. Trademarks Copyright, and Confidentiality

All information, text, graphics, video, sound clips, software and other material of this website and all manuals, training and coaching materials, provided by Owen Life Coach Institute (the "Content") are Copyright © 2011 Lauren Marie Owen. All Rights Reserved. Owen Life Coach Institute is an unregistered trade mark - registration pending. All other trademarks, service marks and logos used in this website are the property of their respective owners.

The Content is protected by United States of America and International Copyright and Trademark laws. You must not use the website, any Services or the Content in any manner or for any purpose which is unlawful or in any manner which violates any right or which is prohibited by the Terms of Use.

Except as provided in Clause 5 - "License", you agree to hold confidential the coaching and training techniques, forms, methods, processes, concepts and other material embodied in the Content on the website, in the training, e-books, PDF's, MP3's, the Life Coach Training in a Box, and as otherwise delivered by Owen Life Coach Institute. This clause survives termination of this agreement for any reason.

3. License

On payment of the Fees, Owen Life Coach Institute grants you a non-exclusive License (with no right to grant sub-licenses) to use our coaching techniques and items from the Life Coach Training in a Box, strictly for the purposes of providing coaching services to both individuals and groups, including businesses and corporations. You may provide items from the Life Coach Training in a Box to, and use them with, your clients. However, you may not make them accessible to the general public on your website or through other means unless specifically allowed in the Copyright notice of a particular piece of content.

You may not use items from the Life Coach Training in a Box or any of the learning content itself or our coaching or training techniques to train coaches. This License remains in force provided it is not terminated or revoked under clause 21.

4. Graduation, Requirements, and Revocation

Payment of the Fees does not guarantee Graduation.

To ensure quality training, graduation of our training courses is at the sole discretion of Owen Life Coach Institute. You will be required to pass certain minimum criteria, including but not limited to a) a score on a assessment test that Owen Life Coach Institute deems sufficient, and b) ethical conduct.

You have up to 12 months to attain certification. If you do not meet the graduation requirements as determined by Owen Life Coach Institute within that period, you may at our discretion be allowed to extend your training period for an additional fee to be determined by Owen Life Coach Institute.

In order for all students to graduate all outstanding fees must be paid in full at least 2 weeks prior to the date of graduation.

Your Graduation Certification may at any time be revoked, and you agree to cease any claims to current certification by the Owen Life Coach Institute, if in the opinion of Owen Life Coach Institute you do not meet the ethical conduct guidelines set down from time to time by the International Coach Federation, or if you breach any other conditions of this agreement. In the case of your Certification being revoked, your License to use the Material is also revoked, and your Fees are not refundable.

Owen Life Coach Institute will provide one emailed certificate upon successful completion and graduation from the program for which the student is enrolled. The certificate will include the name of the student, the certification attained; the date of graduation or attainment, and each certificate will be numbered and recorded. Requests for additional copies of certificates will incur a fee, to be determined by Owen Life Coach Institute.

5. Services

We will provide distance learning for coach training and possibly related educational services (the "Services"), and a "License" to use our coaching techniques and Client Materials, to you for the Fees.

6. Payment of the Fees, and Late Fees

Our terms are payment of the "Fees" as set out on the programs' web pages. Payment may be made by credit card (MasterCard, Visa, AMEX, Discover, and JCB), Paypal, or at our discretion: personal check, or regular money order. We reserve the right to suspend or cancel your ability to receive Certification from us if we have not received full payment of the Fees. All bounced fees will incur a fee of 15% of the amount owing, provided the late amount AND the late fee are paid no later than one month after the due date.

We also draw your attention to clauses 20 and 21 of these Terms and Conditions.

If you fail to meet the above and payment is not made Owen Life Coach Institute will pursue legal action for the outstanding fee and any legal costs incurred will be paid for by you.

7. Section 7 has been deleted.

8. Additional Costs to You

On payment of the Fees, the Owen Life Coach Institute will send you links to access the training material as soon as possible.

9. Security

We are committed to protecting the security of our customers' information as well as the confidentiality of commercial and corporate information within the web server hosting our web site(s) and our internal computer systems.

Please note as well that unencrypted E-mail communications over the Internet are not secure (i.e. private) at this time. We do not encourage anyone to send information which must remain confidential to us using unencrypted E-mail. (We provide a secure web page for sending financial information). We are not liable if you send confidential information to us over the Internet using regular, unencrypted E-mail.

Any passwords used for this Site are for individual use only. You will be responsible for the security of your password (if any). Owen Life Coach Institute will be entitled to monitor your password and, at its discretion, require you to change it. If you use a password that Owen Life Coach Institute considers insecure, Owen Life Coach Institute will be entitled to require the password to be changed and/or terminate your account.

You are prohibited from using any services or facilities provided in connection with this Site to compromise security or tamper with system resources and/or accounts. The use or distribution of tools designed for compromising security (e.g., password guessing programs, cracking tools, or network probing tools) is strictly prohibited. If you become involved in any violation of system security, Owen Life Coach Institute reserves the right to release your details to system administrators at other Sites in order to assist them in resolving security incidents. Owen Life Coach Institute reserves the right to investigate suspected violations of these Terms of Use.

Owen Life Coach Institute reserves the right to fully cooperate with any law enforcement authorities or court order requesting or directing Owen Life Coach Institute to disclose the identity of anyone posting any e-mail messages, or publishing or otherwise making available any materials that are believed to violate these Terms of Use.

BY ACCEPTING THESE TERMS YOU WAIVE AND HOLD HARMLESS OWEN LIFE COACH INSTITUTE FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY OWEN LIFE COACH INSTITUTE DURING OR AS A RESULT OF ITS INVESTIGATIONS AND/OR FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER OWEN LIFE COACH INSTITUTE OR LAW ENFORCEMENT AUTHORITIES.

10. Disclaimer and Limitation of Liability

You understand that Owen Life Coach Institute cannot and does not guarantee or warrant that files available for downloading from the Internet will be free of viruses, worms, Trojan horses, or other code that may manifest contaminating or destructive properties. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to this Site for the reconstruction of any lost data. Owen Life Coach Institute does not assume any responsibility or risk for your use of the Internet.

The Content is not necessarily complete and up to date and should not be used to replace any written reports, statements, or notices provided by Owen Life Coach Institute. Under no circumstances (including but not limited to any act or omission on the part of Owen Life Coach Institute) will Owen Life Coach Institute be liable for any indirect, incidental, special and/or consequential damages or loss of profits whatsoever which result from any use or access of, or any inability to use or access, the website, the Services or any Content. You expressly acknowledge and agree that Owen Life Coach Institute does not exert control over users of the website and is not liable either for their opinions or their behavior including any information and/or advice and any defamatory statements or offensive conduct.

To the fullest extent permitted by law, Owen Life Coach Institute' liability for breach of any implied warranty or condition which cannot be excluded is limited at the option of Owen Life Coach Institute to the following:

You may request in writing that your words not be used. All such requests will be honored.

Facts and information provided by Owen Life Coach Institute are believed to be accurate when placed on the website. Product offers, terms, course content and other information provided here are subject to change without notice.

18. Modification to Services, the Content or the Website

Owen Life Coach Institute reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Services, the Content or this website (in part or whole) with or without notice. You agree that Owen Life Coach Institute shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Services, the Content or this website.

19. Termination

You agree that Owen Life Coach Institute may terminate your use of the Services, and remove and discard any Content within the Service, for any reasonable reason, including, without limitation, for lack of use, if Owen Life Coach Institute believes that you have violated or acted inconsistently with the letter or spirit of these Terms and Conditions, non-payment of the Fees, or for behavior or conduct inconsistent with the ethics set down by the International Coach Federation.

You agree that any termination of your access to the Services the Content or this website under any provision of this Terms and Conditions of Use may be effected without prior notice, and acknowledge and agree that Owen Life Coach Institute may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Services. Your License to use the Material would be revoked, as would your Certification, unless otherwise agreed by Owen Life Coach Institute. Further, you agree that Owen Life Coach Institute shall not be liable to you or any third-party for any termination of your access to the Services, except as provided in clause 12.

20. Cancellations and Refunds

Cancellations:

Owen Life Coach Institute reserves the right to cancel a program for any reason including if there are insufficient registrations and to refund a reasonable proportion of fees paid by registrants for that program.

Refunds:

The payment of Fees represents a commitment to your training as a coach.

Owen Life Coach Institute has a 60 day refund policy. If you wish to withdraw from the program you must inform Owen Life Coach Institute in writing within 60 days of your enrollment date. Your fees, will be refunded. No refunds will be considered after 60 days.

21. Indemnity, and not an employee or agent.

You agree to indemnify and hold Owen Life Coach Institute, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of any item you submit, post to or transmit through the website, your use of the website, the Content and the Services, your violation of these Terms and Conditions, your violation of any rights of another, or your providing, or lack of provision of, coaching services to any third party. This does not affect the consumers' statutory rights.

You acknowledge and agree that in providing coaching services to any third party, you are not an agent or employee of Owen Life Coach Institute.

You will indemnify and hold Owen Life Coach Institute, its subsidiaries, affiliates, licensors, Content providers, service providers, employees, agents, officers, directors, and contractors (hereinafter known as the “Indemnified Parties”) harmless from any claim or demand, including reasonable attorneys’ fees, made by a third party due to or arising from any breach of these Terms by you (including any use of Content other than as expressly authorized in these Terms), or any violation of any law or the rights of any third party. You agree that the Indemnified Parties will have no liability in connection with any such breach or unauthorized use, and you agree to indemnify and hold harmless the Indemnified Parties from and against any and all resulting loss, damages, judgments, awards, costs, expenses, and attorneys' fees of the Indemnified Parties in connection therewith. You will also indemnify and hold the Indemnified Parties harmless from and against any claims brought by third parties arising out of your use of the information accessed from this Site.

22. Further Restrictions on Access To This Site

YOU MUST BE EIGHTEEN (18) YEARS OR OLDER TO ACCESS THIS WEB SITE. IF YOU ARE UNDER EIGHTEEN (18) YEARS OF AGE, YOU ARE NOT PERMITTED TO ACCESS THIS WEB SITE FOR ANY REASON. You may not (and may not authorize any other party to) (i) co-brand this Site without the express prior written permission of an authorized representative of Owen Life Coach Institute.
